FPTS’s Public Tendering Advisory Service assists organizations and individuals looking to increase their ownership in target companies by guiding them through the legal procedures for acquiring shares. FPTS acts as a trusted partner, ensuring that the public tendering process is conducted transparently and efficiently in compliance with market regulations.

Services

- Consult on preparing public tendering documents:

• Consult on drafting the public tendering plan for approval by the relevant authorities and prepare the public disclosure of the tendering.
• Consult on drafting relevant documents required for the tendering process.

- On behalf of the customer, submit the necessary documents and liaise with the State Securities Commission (SSC) to secure official confirmation of receipt of the complete tendering registration profile.

- Consult on the legal requirements for public disclosure related to the tendering, ensuring compliance with the regulations.

- FPTS is as Tendering Agent:

• Develop a detailed guide for investors on how to register to sell shares during the public tendering.
• Collect and summarize investor registrations and notify the customer of the results at the end of the tendering time.
• Inform registered investors about the volume of shares accepted for purchase after the tendering concludes.
• Open an account to receive the full amount required for the tendering, ensuring the customer's funds are securely locked to guarantee the availability of sufficient capital for the transaction at the official tendering stage.
  • The customer will transfer the full amount corresponding to the total value of securities for the public tendering into the account as notified by FPTS.
  • This entire amount will be frozen during the tendering time.
  • FPTS will proceed with the transfer of funds in accordance with regulations to complete the ownership transfer procedures arising from the public tendering and return any remaining balance (if any) to the customer's designated account.

- Consult on working with the Vietnam Securities Depository and Clearing Corporation (VSDC) to carry out ownership transfer procedures resulting from the public tendering.
